ARTICLE I – NAME
The name of this organization shall be the Orlando Music Club and shall be a member of the Florida Federation of Music Clubs and the National Federation of Music Clubs.
ARTICLE II – OBJECT
The object of the Orlando Music Club, a non-profit organization, shall be to advance the interest and to promote the culture of music and the allied arts through study, to aid and encourage musical education, to develop and maintain high musical standards, to promote American music, and to cooperate with the National Federation of Music Clubs in the specific plans for the advancement of music.
ARTICLE III – NON-PROFIT STATUS
Sec.1 – This organization shall not carry on any activities not permitted while exempt from federal income tax under Section 501(c)(3) of the Internal Revenue Code, or while contributions received are deductible under Section 170(c)(2) of the Internal Revenue Code, or not permitted under corresponding sections of any future federal tax code. No substantial activities of this organization shall involve attempting to influence legislation, or participation in, or intervention in any political campaign on behalf of or in opposition to any candidate for public office. The net earnings of this organization shall not benefit or be distributed to its members, trustees, officers, or other private persons, except as reasonable compensation for services rendered and as payments and distributions in furtherance of the purposes set forth in Article II.
ARTICLE IV – MEMBERSHIP
Persons who have a practical or theoretical knowledge of music and the kindred arts, or an active interest in music, shall be eligible to membership in this Club in the classifications set forth: Individual, Couples, and Honorary. Members may show their support by donating financially to Orlando Music Club to help promote music in the community, or by being actively involved in attending meetings/events, voting and holding volunteer positions of responsibility. Each member may choose how he or she can best support the work of Orlando Music Club.
ARTICLE V – DUES
ARTICLE VI- OFFICERS
The elected officers of the Club, for a two-year term of office, shall be: President, Vice-President, Secretary, and Treasurer. At the discretion of the membership, the duties of Secretary and Treasurer may be combined into one office.

The regular meetings and events during the year for Orlando Music Club will be scheduled by the Board of Directors. General meetings shall be held two times a year, in addition to our regular activities from September through May at a time suitable to the majority of the membership.
ARTICLE X – QUORUM
Seven members shall constitute a quorum at any regular or special meeting of the Club. Five members shall constitute a quorum at any board meeting. Three members of standing or special committees shall constitute a quorum at committee meetings. The Board shall consist of officers and chair(s).
ARTICLE XI- PARLIAMENTARY AUTHORITY
The rules contained in “Robert’s Rules of Order, Revised” shall govern this Club in all cases to which they are applicable, and in which they are not inconsistent with the bylaws of this Federation.
ARTICLE XII- AMENDMENTS
These bylaws may be amended by a two-thirds vote of the qualified voters present and voting at any regular meeting or special meeting called for that purpose, provided that the members have been given a 30-day notice in writing of the proposed changes. No votes by proxy will be permitted.
ARTICLE XIII- DISSOLUTION OF THE CLUB
Upon dissolution of the Orlando Music Club, the Board shall, after paying or making provision for the payment of all of the liabilities of the Club, dispose of all the remaining assets of the Club to the Florida Federation of Music Clubs, if it is 501(c)(3) exempt, or to the National Federation of Music Clubs, or to another 501(c)(3) organization with similar object and goals.
Standing Rules:
1. 1. Annual dues for individual members shall be forty dollars ($40.00); and for Couples sixty dollars ($60.00). Discounted dues for NFMC/FFMC Life members is thirty dollars ($30.00). Initial membership as NFMC/FFMC Life Membership shall be four hundred thirty dollars ($430.00 with $400 as one-time dues payment to NFMC and $30.00 annual dues to OMC).

- Sec. 2 – Couples Membership is two persons from a family whose interest is that of active membership.
- Sec. 3 – Honorary Members are those who have rendered distinguished service to the development of music in the community, said honor to be recommended by a majority of the Executive Committee and approved by the Club. This membership is nonvoting and ineligible to hold office.
ARTICLE V – DUES
- Sec. 1 – Annual dues for Individual Members shall be an amount recommended by the Board and approved by the membership. The Couples dues amount shall reflect the cost of an additional member that Orlando Music Club is required to pay FFMC in Senior Club dues. Honorary Members are exempt from all dues.
- Sec. 2 – The apportionment of dues into General and Scholarship funds shall be determined by the Board and approved by the membership.
- Sec. 3 – The Treasurer shall set an initial due date for payment of dues, in order to ensure a timely payment of Senior Club dues to FFMC. A late fee shall be assessed after that date until December 1st of each year.
ARTICLE VI- OFFICERS

ARTICLE VII- NOMINATION OF OFFICERS
- Sec. 1 – In December, the President shall appoint a nominating committee of three (3) members, subject to the approval of the Board of Directors. The nominating committee will prepare a slate by April 1, to be announced in April to the membership.
- Sec. 2 – Active members may indicate an interest to serve or nominate another member to serve. Nominations from the floor are to be accepted at elections to be held at the final meeting of the election year.
- Sec. 3 – No member shall hold more than one office at a time, except in the case of the combined office of Secretary/Treasurer, as specified in Article VI, and no elected officer shall hold the same office for more than two consecutive terms except the Treasurer or Secretary/Treasurer. However, if no successors can be found, the existing officers may serve in an interim capacity until new officers can be elected. In the event that an officer is unable to continue in his/her office and a replacement is elected, that new officer may complete the remaining term and be nominated to serve during the next term.
- Sec. 4 – All officers shall assume their respective duties at the close of the meeting at which they are elected, with the exception of the treasurer who shall assume office at the end of the fiscal year.
- Sec. 5 – Vacancies. A vacancy in elective office shall be filled by a vote of the Board of Directors for the balance of the term.
- Sec. 6 – Failure to perform duties. When an executive officer fails to fulfill the duties of the office as detailed in these bylaws and as determined by a 2/3 vote of the Board of Directors, the officer shall be asked to resign. A vacancy in elective office shall be declared by the Board of Directors.
ARTICLE VIII – DUTIES OF OFFICERS
- Sec. 1 – The duties of the President shall be to preside at all regular and special meetings of the Club, appoint a chair of committees, appoint special committees as needed, and represent the Club at all state meetings of the Florida Federation of Music Clubs. At the start of a new term, the president shall appoint a committee of at least two members to audit the financial records. The President shall also be the program chair.
- Sec. 2 – The Vice-President shall be extension chair and shall be in charge of all printing, which may include bulletin, yearbook, and programs. In the absence of the President, the Vice-President shall perform the duties of that office.
- Sec. 3 – The Secretary shall keep a record of the proceedings of each meeting of the Club, shall provide the President with a copy of the minutes within one month, and shall apprise the President of incoming letters to be read at the next meeting.
- Sec. 4 – The Treasurer shall pay all bills, shall keep an itemized account of all receipts and disbursements, shall present a report to the Club at each regular business meeting, shall collect all dues and notify members who are delinquent.
- Sec. 5 – The Board of Directors, comprised of the officers of the club and chair of the club’s committees, will meet as necessary to plan the general members’ meetings and events calendar, discuss recommendations from members, correspondence, and any communication or plans of work from NFMC, FFMC, and our club. The Board will either act on the recommendations or business that come before the club, or send proposals out by e-mail, regular mail or the website, or by any other means of communication that presents itself as effective in the future. These meetings will be open to the general membership.

- OMC Couples Membership – late $80 (60% General Fund, 40% Scholarship Fund, after deducting $20 FFMC dues)
- NFMC Life Membership – late $40 (60% General Fund, 40% Scholarship Fund, waiver of NFMC/FFMC dues)
